The contractor acts as a sole proprietor to do web design, web development and computer programming.
Website is a web page or a set of pages located under a single domain name which are publicly accessible on the internet by using a browser program, with special appearance, functions and operation designed and developed individually in accordance with the request and specific needs of the client.
Data of the contractor are the following (hereinafter referred to as: „Service Provider”):

These Standard contract terms (hereinafter referred to as: „SCT”) are determined unilaterally, in advance by the Service Provider applying them for concluding several contracts, involving different parties and that are not negotiated individually by the parties. The Service Provider applying the SCT shall be liable for proving that the contract terms were individually negotiated by the parties. The SCT shall become part of the contract if the Service Provider applying it, before the conclusion of the contract, facilitated the other party to become acquainted with its content, and the other party agreed to the term.
This SCT is effective for contracts (hereinafter referred to as: „Individual Contract”) with the scope of Website Development Service (hereinafter referred to as: „Services”) provided by the Service Provider, or for contracts with the scope of Branding, Web Design, Web Development and Audit services (hereinafter referred to as: „Task”) defined in Chapter IV, and forms an essential part of the Individual Contract. If a provision of the SCT is in conflict with another term of the Individual Contract, the latter shall become part of the Individual Contract. This SCT will enter into force on 1 February 2024 and shall be applied for Individual Contracts concluded from that date.
Provisions of the Individual Contract are determined in the Individual Offer (hereinafter referred to as: „Offer”) sent by the Service Provider to the client (hereinafter referred to as: „Client”) and accepted by the Client.
The Service Provider determines in the Offer the conditions, fees and the expiry of the time limit for performance and the binding effect of the Offer (that is the period during which he is bound by the offer).
After the expiry of the time limit set out for making the statement, the binding effect of the Offer expires (the party making the offer no longer remains bound). The binding effect of the Offer shall commence when the Offer becomes effective.
The Individual Contract shall be formed upon the juridical act of acceptance of the Client sent to the Service Provider in electronic form in writing. A contractual juridical act made by electronic means shall become effective when it becomes accessible by the other party. The Service Provider shall confirm the receipt of the Client’s contractual juridical act by using electronic means and without delay. The Service Provider shall be released from the binding effect of the Offer and shall not be obliged to perform the contract if the confirmation fails to reach the Client without delay.
Any previous agreements between the Service Provider and the Client which are not included in the SCT or the Individual Contract shall be repealed, solely the SCT and the terms of the Individual Contract shall be applied for the legal relationship of the Parties.
This SCT is drawn up in Hungarian and English languages and it is published by the Service Provider on his website (www.skeuotech.com) in both languages. In case of divergence between the two versions of the SCT the Hungarian version is authentic and shall prevail.
The Service Provider is entitled to amend the SCT unilaterally any time. Amendment of the SCT is effective from the first day of the publication of the Hungarian version on the website of the Service Provider. In case of amendment, the Service Provider shall make all (currently and previously in force) versions of the SCT available on its website, indicating the different effective date and text of each version.
In the case of Individual contracts being performed, The Service Provider is entitled to amend the SCT in force only if the Client has been notified of the amendment by electronic means at least 30 calendar days of the effective date of the amendment. The Client is entitled to inform the Service Provider that he refuses to accept the amendment in 15 calendar days. In this case, the Individual contract and the SCT shall not be affected by the amendment, the Individual contract and the SCT shall remain unchanged.
The Service Provider undertakes to perform design, graphic and website development services to create a website according to the conditions previously specified by the Client and agreed on by the Parties (hereinafter referred to as: „Website Development” or „Service”), or tasks (Branding, Web Design, Web Development, Audit) set out in detail in Chapter IV of this SCT.
The Service Provider uses its own tools (template, program etc.) to create the Website by customizing, adopting the templates, components, modules etc. according to the request of the Client.
In case the Service Provider undertakes to perform a Task or a combination of Tasks but not the whole Service, the Client shall provide all materials (e.g. images, design) that are needed to perform the Task. The list of materials and the specifications shall be detailed in the Individual Contract.

Go live and delivery of the Website
Step 1-4) (that is Branding, Web Design, Web Development and Audit) are available separately or combined with each other and may be subject of Individual Contract.
During the Branding phase, the Service Provider carries out Design research at the request of the Client, creates the visual appearance of the brand, sets out the communication guidelines of the brand and summarizes them in a document called Brandbook. The Brand Book contains particularly, but not exclusively the followings:
Typography: Font style, font size, line spacing, spaces etc.
Logos, icons, other graphic elements.
Color palette.
Pictures, photos, illustrations, audio and video contents.
The Brandbook does not contain card, email template, presentation or other design element etc., however, at the request of the Client, they may be subject to specific agreement between the Parties.
During the Branding phase, the Parties consult with each other continuously. The Service Provider presents the work to the Client. The Client shall approve the work or is entitled to require modification in 7 calendar days. The modification shall be presented to the Client again. The Client shall approve the modified work or is entitled to require further modification in 7 calendar days.
The Client acknowledges that the Service Provider closes the Branding phase after the second round of modification is completed and delivers the Brandbook and – at the request of the Client and if it is necessary – the materials presented in the Brandbook online and, in a form suitable for printing. The Client shall issue a certificate of performance about the conformance of the Brandbook and an acknowledgement of receipt about the delivery of the Brandbook and the above mentioned materials.
If the Client requires further modification, the work may be subject to special agreement of the Parties.
The Service Provider shall be obliged to do the modification if the Client accepts the Offer of the Service Provider to amend the Individual Contract and the Service fee according to the invoice of the Service Provider is credited to the Service Provider’s account within the due date.
The Client accepts that due to the color management technology of various IT display devices (monitors, projectors, printers, etc.), the visual appearance of the colors may differ on the devices in practice (including the Client’s own devices).
During the Web Design phase, at the request of the Client, the Service Provider builds the Wireframe of the Website which is an illustration of the Website's main structural units, space allocation, navigation menu, functionalities available and arrangement of content, and designs the visual representation and appearance of the Website.
During the Web Design phase, the Parties consult with each other continuously. The Service Provider presents the work to the Client. The Client shall approve the work or is entitled to require modification in 7 calendar days. The modification shall be presented to the Client again. The Client shall approve the modified work or is entitled to require further modification in 7 calendar days.
The Client acknowledges that the Service Provider closes the Web Design phase after the second round of modification is completed. The Client shall issue a certificate of performance about the conformance of the final Web Design.
If the Client requires further modification, the work may be subject to special agreement of the Parties.
The Service Provider shall be obliged to do the modification if the Client accepts the Offer of the Service Provider to amend the Individual Contract and the Service fee according to the invoice of the Service Provider is credited to the Service Provider’s account within the due date.

The Service Provider develops the Website, builds the user interface of the Website using the Web Design and the content provided by the Client.
The Client provides texts, images, spreadsheets, audio and video files or any other data (hereinafter referred to as: „Content”) which are required to be presented on the Website latest within 5 calendar days from the first day of the Web Development phase. In case of delays for which the Client is responsible, the due date of performance is automatically postponed.
Content does not include the program operating the page system and its source code written in any programming language.
The Client acknowledges that he is obliged to ensure the Content. If the Client fails to provide the Content latest by the end of Web Development phase, the Service Provider shall upload demo images, texts, spreadsheets, audio and video files which the Client will be able to modify via the admin interface after the go live and delivery of the Website.
The Service Provider does not undertake to translate texts. The Service Provider excludes any liability for the accuracy of translation and for the compliance in case of discrepancy among the various texts.
The Client acknowledges that texts shall be provided in txt, rtf, doc, docx, md, html format, images shall be provided in jpg, jpeg, jxl, png, avif, webp, heif, svg, tiff, bpm format, spreadsheets shall be provided in xls, xlsx, csv, google sheet link format, audio files shall be provided in waw, aiff, mp3, aac, wma format, video files shall be provided in mp4, mov, avi, mvm, webm, flv format (video files shall not use narrowly used, closed source codec), or via youtube, or videa link. Content in any other format different from above may be used with the prior written consent of the Service Provider.
During the Web Development phase, the Parties consult with each other continuously. The Service Provider presents the work to the Client as a demo website. The Client shall approve the work or is entitled to require modification in 7 calendar days. The modification shall be presented to the Client again. The Client shall approve the modified work or is entitled to require further modification in 7 calendar days. The Client acknowledges that the Service Provider closes the Web Development phase after the second round of modification is completed. The Client shall issue a certificate of performance about the conformance of the final demo version of the Website.
If the Client requires further modification, the work may be subject to special agreement of the Parties.
The Service Provider shall be obliged to do the modification if the Client accepts the Offer of the Service Provider to amend the Individual Contract and the Service fee according to the invoice of the Service Provider is credited to the Service Provider’s account within the due date.
The Service Provider tests the Website, including proper operation of the Website, search engine optimization (SEO), technical content elements, functionality, appearance on different devices (responsiveness), compatibility and page speed.
After the correction of errors and solution of problems detected during the testing, the Service Provider informs the Client of the fact that the Website is ready to go live and to be delivered.
The Service Provider shall provide a document called user manual to the Client that contains instructions regarding the operation of the Website, management of the admin interface and content management.
At the Client’s request, the Service Provider undertakes to give a maximum 60 minutes online training about the operation of the Website, management of the admin interface and content management at a previously agreed date.
The Service Provider sets the domain the Client provided and moves the Website from the test environment to the final storage location, thereby making the Website available to users on the internet.
Delivery of the Website is carried out on Webflow, for this purpose, the Client shall sign up for a Webflow account and make the account available for the Service Provider. The Service Provider delivers the Website by transferring it directly to the Client’s Webflow account.
The Client shall issue a certificate of performance of the go live and delivery of the Website, in which he confirms that the Website complies with the the requirements of the Client, fits for its intended purpose and operates error-free, and that the Client has an unhindered access to his Webflow account.
Simultaneous with the delivery, the Service Provider draws up a record of delivery electronically, in which the Client is entitled to submit comments within 8 calendar days from the date of the delivery. If the Client does not submit comments within the time available, or according to his comments the Website has an insignificant defect that does not hinder its intended operation, the performance is regarded to be accepted and the Service Provider closes the record. If the Client detects a defect that hinders the intended use of the Website, the Service Provider shall start to repair it without delay. After reparation of defects and with the Client’s consent, the Service Provider closes the record.
If the Client detects a default when displaying the Website, but the Service Provider, using the same operating system and the same browser and (primary) version number, does not detect a default, then the display of the Service Provider’s device shall be relevant and shall prevail, however the Service Provider is expected to make best efforts to ensure that the Website is displayed properly on the devices of the Client as well.
The Parties shall set out a time limit for the performance of each phase of the Services and for each Task in the Individual contract. The time limit for performance starts on the day when the Advance fee, the Final payment, in case of Audit the Fee, according to the invoice of the Service Provider is credited to the Service Provider’s account.
The Service Provider shall be in default if he fails to perform the Service, or the Task when it is due. The Client accepts that the due dates determined in the Individual contract may change in cases set out in this SCT. The Client acknowledges that in case of default for which the Client is responsible, the due date of performance is automatically postponed. The Client’s default (e.g. in connection with ensuring Content) shall exclude the Service Provider's simultaneous default.
The Service Provider shall notify the Client without delay, if he is likely to be in default to perform the Service, or the Task compared to the due date determined in the Individual contract, either for a reason for which he is liable or through no fault of his own.
The Client shall pay contractor’s fee determined in the Individual contract for the Service or for the Tasks that can be ordered separately (Branding, Web Design, Web Development, Audit) (hereinafter referred to as „Fee”).
If the subject of the Individual contract is Website Development (that is Branding, Web Design, Web Development, Audit, Go live and delivery of the Website), the payment schedule is the following:
The Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Advance fee”) simultaneous with the conclusion of the Individual contract. The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days.
After the closing of the Audit phase, the Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Final payment”). The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days. The Client acknowledges that settlement of the Final payment is a necessary condition for the go live and delivery of the Website, therefore the Client is entitled to require it only after the Final payment is credited to the Service Provider’s account.
If the subject of the Individual contract is Branding, the payment schedule is the following:
The Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Advance fee”) simultaneous with the conclusion of the Individual contract. The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days.
After the closing of Branding phase, the Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Final payment”). The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days. The Client acknowledges that settlement of the Final payment is a necessary condition for delivery of the Brandbook, therefore the Client is entitled to require it only after the Final payment is credited to the Service Provider’s account.
If the subject of the Individual contract is Web Design, the payment schedule is the following:
The Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Advance fee”) simultaneous with the conclusion of the Individual contract. The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days.
After the closing of Web Design phase, the Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Final payment”). The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days. The Client acknowledges that settlement of the Final payment is a necessary condition for the delivery of the final version of the Web design, therefore the Client is entitled to require it only after the Final payment is credited to the Service Provider’s account.
If the subject of the Individual contract is Audit, the payment schedule is the following:
The Service Provider issues a proforma invoice of 100% of the Fee. The Client shall pay the Advance fee according to the proforma invoice of the Service Provider in 8 calendar days. Settlement of the Fee is a necessary condition for the Service Provider to start performance, therefore the Client is entitled to require it only after the Final payment is credited to the Service Provider’s account.
If the subject of the Individual contract is Web Development, the payment schedule is the following:
The Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Advance fee”) simultaneous with the conclusion of the Individual contract. The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days.
After the closing of Web Development phase, the Service Provider issues an invoice of 50% of the Fee (hereinafter referred to as: „Final payment”). The Client shall pay the Advance fee according to the invoice of the Service Provider in 8 calendar days. The Client acknowledges that settlement of the Final payment is a necessary condition for the go live and delivery of the Website, therefore the Client is entitled to require it only after the Final payment is credited to the Service Provider’s account.
If the subject of the Individual contract is more than one service that is available separately, that is a combination of these services, but not the total Website Development Service, the Parties agree on the payment schedule in the Individual contract.
The Parties are entitled to perform before the due date. Any costs and expenses incurred in connection with the financial obligations of the Client arising from this contract shall be borne by the Client, the Service Provider shall not be charged for them.
Each payment obligation is considered to be fulfilled when the payment is credited to the Service Provider’s account.
In case of default, the Client shall be required to pay default interest in accordance with provisions of default interest laid down in Paragraph 6:48 and 6:155 of Act V of 2013 on the Civil Code, furthermore the Service Provider is entitled to obtain 40 euros in accordance with the provisions of Act IX of 2016.
The Individual contract may be amended by the mutual agreement of the Parties in writing.
The Client accepts that if he requires modification of any services in any phase compared with the one(s) set out in the Individual contract, the Service Provider shall perform the word according to the modification on the basis of the amendment of the original Individual contract.
The Service Provider determines the time limit for the performance, the additional contractor’s fee for the extra work and the payment schedule in a written offer. The Service Provider shall perform the work only in the case if the fee is credited to the Service Provider’s bank account. The Client acknowledges that in case of amendment, due dates of performance shall be automatically postponed with the due dates of the additional work determined in the amendment.
The Individual contract may be terminated by the mutual agreement of the Parties. The Individual contract terminates at the date set out by the Parties.
Prior to the commencement of performance, the Client may cancel the contract at any time by way of an unilateral, written statement addressed to the other Party without giving justification.
Following the commencement of performance and up to the performance, any Party may unilaterally terminate the contract by way of an unilateral, written statement addressed to the other Party with a notice period of 15 days without giving justification (contractual termination).
In the event of material breach of the Individual contract or this SCT, the contract may be canceled with immediate effect by way of an unilateral, written statement addressed to the other Party (termination for breach).
The Parties are entitled to terminate the contract for breach particularly but not exclusively in the following cases:
in case of serious breach of contract, if the obligee set an adequate grace period for subsequent performance, and this grace period expired without any result;
if the Client fails to perform its payment obligation set out in the invoice within the due date;
if any Party damages or threatens the other’s business reputation by its conduct;
in case of breach of the obligation of discretion and confidentiality;
in case the Client enters into dissolution, bankruptcy, winding-up or any other insolvency proceeding
or in case if such proceedings are impending;
if the Client hinders or threatens the proper operation of the Service Provider, especially the IT system of the Service Provider;
if the Service Provider becomes aware that the Client has the intention to use the Website for illegally, immortally or for such purposes.
If the Client cancels the contract prior to the commencement of the performance, the Service Provider shall pay an amount that is equal to the 15% of the Fee as a compensation for the damage caused by the dissolution of the contract.
In the event of the Client’s unilateral termination (either in event of contractual termination or termination for breach), the Client shall pay the pro rata fee to the Service Provider.
In the event of termination of the contract by the Client, an amount that is equal to the 15% of the Fee shall be paid to the Service Provider as a compensation for the damage caused by dissolution of the contract even if it is less than the amount of pro rata fee.
The Parties shall prepare a written accounting settlement and the Client shall be reimbursed the difference of the Advance fee, Fee or Final payment he paid and the pro rata fee or the amount of the compensation in 15 calendar days.
Juridical acts concerning the amendment or termination of the shall be considered communicated when it becomes accessible by the other Party in accordance with point IX/4 of this SCT.
The Service Provider undertakes a guarantee for the error-free operation of the Website and its suitability for intended use for 30 days from the date of the delivery of the Website. The Service Provider shall be exempted from the obligation of guarantee, if he proves that the reason for the defect occurred after the performance. The guarantee shall not affect the rights of the obligation arising from law.
After the expiry of guarantee period, the Service Provider shall be subject to a warranty for material defects for his defective performance. Following the detection of the defect, the Client shall be required to communicate the defect to the Service Provider without delay. The Client’s claim of warranty for material defects shall lapse after one year from the time of the date of Delivery.
Limitation of liability: The liability of the Service Provider for damages set out in Paragraph 6:143 of Civil Code is limited to the amount of the Fee set out in the Individual contract. Limitation of liability does not concern damage caused by breach of contract intentionally, as well as for the breach of contract harming human life, physical integrity and health.
The Service Provider does not undertake guarantee for the reparation of defects arising from the error of the applied browser or the device operating the browser or their incompatibility.
The Client accepts that after the Delivery of the Website, the maintenance and operation of the Website, especially debugging, updates and content management are the responsibility of the Client or any third party entrusted by the Client. Maintenance of the Website after the Delivery of the Website or content management are not subject of the Individual contract.
The Service Provider is not responsible for any damage resulting from the operation or use of free additional services, especially software developed not by the Service Provider (e.g. statistical programs, advertising interfaces, SSL encryption, webmail interface, SEO tools, Google Analytics, etc.) – yet even if the damage can be proven to have been caused by this software. The Customer uses the free software and services at his own risk.
The Service Provider is not responsible for any data loss that may occur on the hosting provider's server computer due to technical errors, interruptions in operation or other reasons, nor for any data loss caused by a third-party service provider or the Client, or any other damage, nor for consequential damages arising from downtime.
The Service Provider excludes liability for the Content (images, texts, spreadsheets, sounds, videos) displayed on the Website. The Client is responsible for the veracity and the legality of the Content and the Client shall bear the consequences of unauthorized or illegal use of the elements of the Content.
It is prohibited to place any Content on the Website that is considered to be business secret, private secret or protected by copyright according to current Hungarian and international laws, and to use the Website for criminal purposes or illegally, immortally for such purposes. The Service Provider excludes his liability for consequences and damage caused by such activity.
Individual, original works (images, texts, spreadsheets, audio and video materials) on the Website are protected by copyright. The permission of the author is required to use the works. The Client gives his consent for the Service Provider to use the works made available for the Service Provider to the extent necessary to perform the Service or Task. The Client warrants the works made available to the Service Provider do not infringe the intellectual property rights or personality rights of other third parties.
The appearance of the Website (including logos, emblems etc. created by the Service Provider) is protected by copyright, as artistic work created with computer graphics. The right to protection belongs to the Service Provider, as the designer of the work.
The Website, as a collection, is protected by copyright, because the Service Provider, as an editor, selects, organizes and edits its content in an individual and original way. Copyright protection of the Website is independent from the copyright protection of the works displayed on the Website. The Service Provider warrants that neither the template he uses, nor the Website infringes the intellectual property or the personality rights of third parties. Copyright protection belongs to the collection even if its parts, elements are not protected or cannot be protected by copyright.
The Service Provider, as the author, transfers property rights concerning the Website to the Client for fee, without time and territorial limitation. Fee to be paid for consideration of the transfer of property rights is not determined separately by the Parties, it is included in the contractor’s fee specified in the Individual contract.
Since it is the author’s personal, non-transferable copyright to be identified as the author of the works, therefore the Service Provider is entitled to be named on the go live Website.
The Client consents that his personal data provided by him voluntarily in the Individual contract, as well as data that the Service Provider became aware necessarily in connection with the performance of the Individual contract, shall be managed by the Service Provider or his vicarious agents for the purpose of the performance of the Individual contract and for enforcement purposes in accordance with legal provisions. The Client agrees to transmit his personal data to persons entrusted by the Service Provider.
The Client gives contestants to the Service Provider to mark his name and the link of his website on the Website and on all of his online and offline publications as a reference.
The Service Provider shall take reasonable technical and organizational measures in order to protect personal data and Content provided by the Client from unauthorized access and illegal use, and provide protection against loss or alteration of data. Nevertheless, the Service Provider does not warrant the complete security of data stored on his server.
For secure data transmission, it is recommended to use https security connection. The Service Provides assumes no responsibility from damages arising from data loss that occur due to the use of an insecure connection.
The Service Provider does not assume responsibility for custody of Content provided by the Client, the materials provided by the Client will be canceled from the server and the data carriers 60 days following the date of the Delivery.
The Client acknowledges that he shall have a registered domain name no later than the beginning of the Web Development phase. The Client acknowledges that the continuous maintenance of the domain and the storage is an essential technical condition of the operation of the Website.
The Client shall conclude a contract with the domain and/or hosting service providers for the purpose of domain registration, domain and storage maintenance in his own name. The Client acknowledges that under that contract directly the Client and the certain domain and/or hosting service providers shall have rights and obligations (e.g. financial obligations of the Client).
The Service Provider shall not examine if the domain provided by the Client is unlawful, the Service Provider excludes liability for the compliance of the domain with laws.
The Client appoints a natural person who is entitled to communicate with the Service Provider on behalf of him, to give instructions, to provide information and to make decisions in issues arising (hereinafter referred to as „Contact person”). The name, e-mail address and other contact details of the Contact person shall be set out in the Individual contract. The Service Provider shall act in accordance with the instructions and based on the statements of the Contact person appointed in the Individual contract exclusively.

The Services Provider is entitled to appoint another Contact person in the Individual contract as well.
Contractual juridical acts of the Parties, concerning the Individual contract, are required to be made in writing. Contractual juridical act of the Parties made by electronic means shall become effective when it becomes accessible by the Contact person of the other Party. The Party shall confirm the receipt of the other Party’s contractual juridical act by electronic means, in writing and without delay.
The Parties shall be required to notify each other without delay if the email account, other account or platform becomes accessible for unauthorized persons.
The Parties shall make a reminder of their oral consultations in writing, and they shall be required to confirm their oral statements by electronic means, in writing, within 2 calendar days of the date of making the statement orally.
The Service Provider may use the assistance of another person for the performance of his obligations or for the exercise of his rights. The Client acknowledges that the vicarious agent used by the Service Provider acts for the benefit of the Service Provider and on his own behalf. The Service Provider shall be liable for the conduct of the vicarious agent in the same way as if he has acted himself.
The invalidity of a specific part of the Individual contract or this SCT does not concern the validity of the other parts. The invalid part shall become valid with retroactive effect as from the time of the conclusion of the contract if the reason for invalidity is remedies by the Parties subsequently. Partial invalidity of the contract may cause invalidity of the entire contract if it can be assumed that the Parties would not have concluded it without the invalid part.
The Parties consider business secret or know-how all facts, data, information provided by the Client to the Service Provider for the purpose of the performance of the Contract, the existence and the content of the Individual contract, and all information concerning it, particularly but not exclusively classified as „Private and confidential” by the Service Provider.
The Parties undertake to keep business secret and know-how confidential and to use them exclusively for the purpose of the fulfillment of their obligations arising from the Individual contract and, in accordance with the provisions of the Individual contract.
The Parties take all reasonable measures to keep business secret and know-how confidential, and to prevent them to be obtained, used or released by unauthorized persons.
The Parties shall be liable for the conduct of their vicarious agents concerning confidentiality in the same way as if they have acted themselves. Parties shall be bound by the obligation of confidentiality without time limitation, even after the termination of the contract. The Parties assume liability for damages resulting from breach of obligation of confidentiality.
Obligation of confidentiality does not extend to expectations set out in Act LIV of 2018 on the protection of business secrets.
The Client undertakes to refrain from any expression or conduct that interferes with the good reputation of the Service Provider, especially in the online platforms, including social media.
The Client shall notify the Service Provider in writing of the change of his data (e.g. billing address, contact person or contact details) recorded in the Individual contract without delay but no later than 8 calendar days after the change. The Client is responsible for any damage arising from failure to comply with this obligation.
The contractor’s fee specified in the Individual contract is a net amount, it does not include taxes and charges (that is VAT at the time of the entry into force of this SCT) which might be due according to the Hungarian tax legislation in force at all times. The Service Provider draws the attention of the Client to be informed of the relevant tax legislation and practices of the state of the Client’s tax residence at the tax authority of the state of the Client’s tax residence.
The legal relationship of the Parties shall be governed by the law of Hungary, particularly the Act V of 2013 on the Civil Code.
The Parties shall endeavor to settle their dispute arising between them concerning the interpretation of the provisions of the Individual contract and this SCT, the performance or the termination of the contract by peaceful negotiations, or with the assistance of alternative methods of settling disputes (mediation).
If it fails, the Parties stipulate the exclusive jurisdiction of Székesfehérvár District Court or Székesfehérvár Regional Court, depending on the value limit, to resolve all their legal disputes related to the contract. According to Act CXXX of 2016 on the Civil Procedure, the language of court proceedings is Hungarian.
A Vállalkozó az egyéni vállalkozói tevékenysége keretében weboldaltervezéssel, webdizájnnal, weboldalfejlesztéssel, számítógépes programozással foglalkozik.
A weboldal olyan egyéni internetes oldal, amelynek tartalma a megrendelő által megjelölt internetcímen a világhálón böngészőprogram segítségével megjeleníthető, arculata, valamint funkciói és működése a megrendelő kérésére és egyedi igényeinek megfelelően van kialakítva (a továbbiakban: „Weboldal”).

A jelen általános szerződési feltételeket (a továbbiakban: „ÁSZF”) a Szolgáltató több szerződés megkötése céljából egyoldalúan, a másik fél közreműködése nélkül, előre határozta meg. Az ÁSZF akkor válik a szerződés részévé, ha a Szolgáltató lehetővé tette, hogy a másik fél annak tartalmát a szerződéskötést megelőzően megismerje, és ha azt a másik fél elfogadta. A Szolgáltatót terheli annak bizonyítása, hogy az ÁSZF-et a felek egyedileg megtárgyalták.
A jelen ÁSZF hatálya a Szolgáltató által nyújtott Weboldal készítés szolgáltatásra (a továbbiakban: „Szolgáltatás”), vagy a jelen ÁSZF IV. fejezetében meghatározott egyes szolgáltatásokra – úgymint Márkatervezés, Webdizájn, Webfejlesztés, Audit (a továbbiakban: „Részszolgáltatás”) – kötött vállalkozói szerződésre (továbbiakban: „Egyedi szerződés”) terjed ki és ezen Egyedi szerződés elválaszthatatlan részét képezi. Ha az ÁSZF-ben és az Egyedi szerződésben rögzített feltételek között ellentmondás van, az utóbbi az irányadó.
A jelen ÁSZF 2024. február 01. napján lép hatályba és a hatályba lépését követően megkötött Egyedi szerződésekre irányadó.
Az Egyedi szerződés feltételeit a Szolgáltató által az Egyedi szerződésben meghatározott ügyfél (továbbiakban: „Megrendelő”) részére megküldött és a Megrendelő által elfogadott egyedi ajánlat tartalmazza (a továbbiakban: „Ajánlat”).
A Szolgáltató, mint ajánlattevő az egyedi Ajánlatban meghatározza a Weboldal Megrendelő által igényelt funkcióira, működésére, arculatára vonatkozó elképzelései alapján a teljesítés feltételeit, díját, határidejét, valamint az ajánlati kötöttségének idejét.
Az ajánlati kötöttség idejének letelte után a Szolgáltatónak Ajánlatban foglalt nyilatkozatához való kötöttsége megszűnik. Az ajánlati kötöttség ideje az Ajánlat hatályossá válásával veszi kezdetét.
Az Egyedi szerződés úgy jön létre, hogy a Szolgáltató Ajánlatát a Megrendelő elfogadja olyan módon, hogy írásban, elektronikus úton visszajuttatja a Szolgáltató részére. Az elektronikus úton tett szerződési jognyilatkozat akkor válik hatályossá, amikor az a Szolgáltató számára hozzáférhetővé válik. A Szolgáltató köteles a Megrendelő szerződési jognyilatkozatának megérkezését elektronikus úton késedelem nélkül visszaigazolni. A Szolgáltató mentesül az ajánlati kötöttség alól és az Egyedi szerződés teljesítésére nem kötelezhető, ha a visszaigazolás a Megrendelőhöz nem érkezik meg késedelem nélkül.
A Megrendelő és a Szolgáltató közötti megállapodás tartalmát, valamennyi feltételét az Egyedi szerződés és jelen ÁSZF együttesen képezi, az azokba nem foglalt esetleges korábbi megállapodások az Egyedi szerződés létrejöttével hatályukat vesztik.
A jelen ÁSZF magyar és angol nyelven készült, és azt a Szolgáltató mindkét nyelven közzéteszi az internetes honlapján (www.skeuotech.com). A két verzió közötti eltérés esetén a magyar nyelvű verzió az irányadó.
A Szolgáltató bármikor jogosult egyoldalúan módosítani az ÁSZF-et. Az ÁSZF módosítása a módosított magyar nyelvű verzió fenti honlapon történő közzétételének napjától hatályos. Az ÁSZF módosítása esetén a Szolgáltató a honlapján közzéteszi az ÁSZF különböző időpontokban hatályos szövegét, és feltünteti az egyes verziók hatályba lépésének dátumát.
A Szolgáltató az aktuálisan hatályban lévő ÁSZF egyoldalú módosítására az ÁSZF hatályban léte alatt létrejött Egyedi szerződések tekintetében abban az esetben jogosult, ha a módosításról a Megrendelőket a módosítás hatályba lépése előtt legalább 30 naptári nappal elektronikus úton értesítette. A Megrendelő az elektronikus úton megküldött értesítés hozzáférhetővé válásától számított 15 naptári napon belül jelezheti a Szolgáltató felé, hogy nem fogadja el az ÁSZF módosítását. Ebben az esetben a Megrendelő Egyedi szerződése tartalmának nem fogja részét képezni az értesítésben szereplő ÁSZF módosítás, az Egyedi szerződés és az ÁSZF módosítással nem érintett részei változatlan tartalommal hatályban maradnak.
A Szolgáltató vállalja, hogy arculattervezési, grafikai, valamint weboldal fejlesztési tevékenység végzésével a Megrendelővel közösen egyeztetett és a Megrendelő által meghatározott feltételeknek megfelelő Weboldalt hoz létre (továbbiakban: „Weboldal készítés”, vagy „Szolgáltatás”), illetőleg a jelen ÁSZF IV. fejezetében meghatározott egyes Részszolgáltatásokat (Márkatervezés, Webdizájn, Webfejlesztés, Audit) teljesíti.
A Szolgáltató a Weboldalt a saját tulajdonában lévő eszközök (sablon, programkód stb.) felhasználásával hozza létre oly módon, hogy a sablont, komponenseket, modulokat stb. a Megrendelő egyedi igényei szerint testre szabja, illetve átalakítja.
Amennyiben a Szolgáltató Részszolgáltatás, vagy Részszolgáltatások kombinációjának, de nem az egész Szolgáltatás teljesítését vállalja, úgy a Megrendelő köteles biztosítani a Szolgáltató számára a teljesítéshez szükséges anyagokat (pl. arculat, webdizájn). A Szolgáltató részére átadott anyagok tételes listáját és a Megrendelő által megadott specifikációt a felek az Egyedi szerződésben rögzítik.
A Szolgáltató a Weboldal elkészítését az alábbi 1-5) lépésekben végzi el.

A Weboldal élesítése és átadás-átvétel
Az 1) Márkatervezés, a 2) Webdizájn, a 3) Weboldal fejlesztés, valamint a 4) Audit lépések önálló szolgáltatásokként is képezhetik Egyedi szerződés tárgyát.
A Márkatervezés során a Szolgáltató a Megrendelő igénye esetén márkakutatást (Design research) végez, valamint a meghatározza a márka vizuális megjelenését és a márka kommunikációjához használandó iránymutatásokat, amelyet a Szolgáltató márkakézikönyvben (Brandbook) foglal össze. A márkakézikönyv különösen, de nem kizárólagosan az alábbiakat tartalmazza:
Tipográfia: Betűstílus, betűméretek, sortávolságok mérete, térközök stb.
Logók, emblémák, ikonok, egyéb grafikai elemek.
Színpaletta.
Képek, fotók, illusztrációk, hang- és videóanyagok.
A márkakézikönyv névjegyet, e-mail sablont, prezentációt, egyéb arculati elemet stb. nem tartalmaz, igény esetén ezek elkészítését a Szolgáltató külön megállapodás alapján, díjazás ellenében vállalja.
A márkatervezési munkaszakasz során a felek folyamatosan egyeztetnek egymással. Az elkészült művet a Szolgáltató bemutatja a Megrendelőnek. A Megrendelő köteles 7 naptári napon belül jóváhagyni a művet, vagy jogosult módosítást kérni. Az elvégzett módosítást a Szolgáltató ismét bemutatja a Megrendelőnek. A Megrendelő köteles 7 naptári napon belül jóváhagyni a munkát, vagy jogosult további módosítást kérni. A Megrendelő tudomásul veszi, hogy a második kör módosítás elvégzése után a Szolgáltató a márkatervezési munkaszakaszt lezárja és átadja a Megrendelőnek a márkakézikönyvet (Brandbook), valamint – szükség, illetve igény esetén – online és nyomdai felhasználásra is alkalmas formátumban a márkakézikönyvben szereplő anyagokat. A végleges márkakézikönyv megfelelőségéről a Megrendelő teljesítési igazolást, a Márkakézikönyv és a fenti anyagok átvételéről átvételi elismervényt köteles kiállítani.
További módosításra vonatkozó megrendelői igény esetén a módosítás elvégzése a felek külön megállapodásának tárgyát képezheti. A Szolgáltató a módosítás elvégzésére csak akkor köteles, ha a Megrendelő a Szolgáltató módosításra vonatkozó ajánlatát elfogadja és a Szolgáltató által kiállított számla szerinti díj összege a teljesítési határidőn belül jóváírásra került a Szolgáltató bankszámláján.
A Megrendelő elfogadja, hogy a különböző informatikai megjelenítő eszközök (monitorok, projektorok, nyomtatók stb.) színkezelési technológiája miatt a színek látványa a gyakorlatban eltérhet az egyes eszközökön (beleértve a Megrendelő saját eszközeit is).
A Szolgáltató a Megrendelő igénye esetén elkészíti a Weboldal drótvázát (Wireframe), amely a Weboldal főbb szerkezeti felépítését, szekcióinak elrendezését, navigációját, funkcióit és a legfőbb tartalmi egységeit ábrázolja, valamint megtervezi a Weboldal interneten megjelenő vizuális ábrázolását, kinézetét (Web Design).
A webdizájn munkaszakasz során a felek folyamatosan egyeztetnek egymással. Az elkészült művet a Szolgáltató bemutatja a Megrendelőnek. A Megrendelő köteles 7 naptári napon belül jóváhagyni a művet, vagy jogosult módosítást kérni. Az elvégzett módosítást a Szolgáltató ismét bemutatja a Megrendelőnek. A Megrendelő köteles 7 naptári napon belül jóváhagyni a munkát, vagy jogosult ismételt módosítást kérni. A Megrendelő tudomásul veszi, hogy az ismételt módosítás elvégzése után a Szolgáltató a webdizájn munkaszakaszt lezárja. A végleges webdizájn elfogadásáról és megfelelőségéről a Megrendelő teljesítési igazolást köteles kiállítani.
További módosításra vonatkozó megrendelői igény esetén a módosítás elvégzése a felek külön megállapodásának tárgyát képezheti. A Szolgáltató a módosítás elvégzésére csak akkor köteles, ha a Megrendelő a Szolgáltató módosításra vonatkozó ajánlatát elfogadja és a Szolgáltató által kiállított számla szerinti díj összege a teljesítési határidőn belül jóváírásra került a Szolgáltató bankszámláján.
A Megrendelő elfogadja, hogy a különböző informatikai megjelenítő eszközök (monitorok, projektorok, nyomtatók stb.) színkezelési technológiája miatt a színek látványa a gyakorlatban eltérhet az egyes eszközökön (beleértve a Megrendelő saját eszközeit is).
A Szolgáltató elvégzi a Weboldal fejlesztését, felhasználói felületének megtervezését a Webdizájn alapján és a Megrendelő által rendelkezésére bocsátott tartalmak felhasználásával.
A Megrendelő legkésőbb a végleges Weboldal fejlesztési munkaszakasz 1. naptári napjától számított 5 naptári napon belül a Szolgáltató rendelkezésére bocsátja azon szövegeket, képeket, táblázatokat, audio- illetve video fájlokat, vagy bármely más adatot (a továbbiakban: „Tartalom”), amelyet a Weboldalon meg kíván jeleníteni. A Megrendelőnek felróható késedelem esetén a teljesítésre nyitva álló határidő automatikusan kitolódik. A Tartalom fogalmába nem tartozik bele az oldalrendszert működtető program és annak valamilyen programozási nyelven írott forráskódja.
A Megrendelő tudomásul veszi, hogy a Tartalom biztosítása a Megrendelő kötelezettsége. Amennyiben a Megrendelő legkésőbb a Weboldal fejlesztési munkaszakasz végéig nem bocsátja a Szolgáltató rendelkezésére a Tartalmat, úgy a Szolgáltató demo képekkel, szövegekkel, táblázatokkal, hangokkal, illetve videókkal tölti fel a Weboldalt, melyet a Megrendelő az élesítést és az átadás-átvételt követően az admin felületen keresztül módosíthat.
A Szolgáltató szöveg írását, illetőleg fordítását nem vállalja. A Szolgáltató a fordítás helyességéért, több nyelvű szövegek esetén azok egymással egyezőségéért való felelősségét kizárja.
A Megrendelő tudomásul veszi, hogy a szöveges alapanyagot txt, rtf, doc, docx, md, html formátumban, a képeket jpg, jpeg, jxl, png, avif, webp, heif, svg, tiff, bpm formátumban, táblázatot xls, xlsx, csv, google sheet link formátumban, a hangokat waw, aiff, mp3, aac, wma formátumban, a videokat mp4, mov, avi, mvm, webm, flv (video fájlok nem használhatnak szűk körben használt szabadalmaztatott codec-et), youtube, videa link formátumban köteles átadni a Szolgáltatónak. A Szolgáltató előzetes írásbeli jóváhagyásával egyéb formátumú Tartalom is felhasználható.
A Weboldal fejlesztési munkaszakasz során a felek folyamatosan egyeztetnek egymással. Az elkészült művet, mint demo weboldalt a Szolgáltató bemutatja a Megrendelőnek. A Megrendelő köteles 7 naptári napon belül jóváhagyni a művet, vagy jogosult módosítást kérni. Az elvégzett módosítást a Szolgáltató ismét bemutatja a Megrendelőnek. A Megrendelő köteles 7 naptári napon belül jóváhagyni a művet, vagy jogosult ismételt módosítást kérni. A Megrendelő tudomásul veszi, hogy az ismételt módosítás elvégzése után a Szolgáltató a Weboldal fejlesztési munkaszakaszt lezárja. A Weboldal végleges demo változatának elfogadásáról és megfelelőségéről a Megrendelő teljesítési igazolást köteles kiállítani.
További módosításra vonatkozó megrendelői igény esetén a módosítás elvégzése a felek külön megállapodásának tárgyát képezheti. A Szolgáltató a módosítás elvégzésére csak akkor köteles, ha a Megrendelő a Szolgáltató módosításra vonatkozó ajánlatát elfogadja és a Szolgáltató által kiállított számla szerinti díj összege a teljesítési határidőn belül jóváírásra került a Szolgáltató bankszámláján.
A Szolgáltató teszteli a Weboldalt, amelynek körében ellenőrzi a Weboldal technikai működésének megfelelőségét, egyebek mellett a keresőoptimalizálást (SEO), a technikai tartalmi elemeket, a funkciók működését, a különböző eszközökön történő megjelenést (reszponzivitás), a kompatibilitást és az oldalsebességet.
A Szolgáltató a tesztelés során feltárt hibák kijavítása és problémák megoldása után a Szolgáltató értesíti a Megrendelőt arról, hogy a Weboldal éles üzembe állításra és átadásra kész.
A Szolgáltató átad a Megrendelőnek egy a Weboldal működésére, az adminisztrációs felület kezelésére és tartalomkezelésre vonatkozó használati útmutatót. Megrendelői igény esetén a Szolgáltató legfeljebb 60 perc időkeretben, a felek által előzetesen egyeztetett időpontban online tréninget tart a Megrendelő részére a Weboldal működéséről, az admin felületek kezeléséről és a tartalomkezelésről.
A Szolgáltató beállítja a Megrendelő által megadott domaint és a tesztkörnyezetből áthelyezi a végleges tárhelyre a Weboldalt, ezáltal a Weboldal elérhető elérhetővé válik a felhasználók számára az interneten.
A Weboldal átadás-átvétele Webflow rendszerben történik, ennek érdekében a Megrendelő köteles Webflow fiókot létrehozni és annak elérését a Szolgáltató számára biztosítani. A Weboldal átadása úgy történik, hogy a Szolgáltató a Weboldalt közvetlenül a Megrendelő Webflow fiókjába helyezi át.
A Megrendelő az élesítésről és az átadás-átvételről teljesítési igazolást állít ki, amelyben elismeri, hogy a Weboldal megfelelő, rendeltetésszerű használatra alkalmas és hibamentesen működik, továbbá, hogy akadálytalanul hozzáfér a Webflow fiókjában a Weboldalhoz.
Az átadás-átvétellel egyidejűleg a Szolgáltató megnyit egy elektronikus jegyzőkönyvet, amelyben a Megrendelő az átadás napjától számított 8 naptári nap elteltéig jogosult észrevételeket rögzíteni. Ha a Megrendelő a rendelkezésre álló idő alatt nem tesz észrevételeket, vagy olyan észrevételeket tesz, amelyek szerint az átadott Weboldalnak csak olyan hibái vannak, amelyek a rendeltetésszerű működést nem fogják akadályozni, a Szolgáltató a teljesítést elfogadottnak tekinti és lezárja a jegyzőkönyvet. Ha a Megrendelő a Weboldal rendeltetésszerű használatát akadályozó hibákat jelöl meg, a Szolgáltató köteles hibák kijavítását haladéktalanul megkezdeni. A hibák kijavítását követően a Megrendelő jóváhagyó nyilatkozata birtokában a Szolgáltató lezárja a jegyzőkönyvet.
Amennyiben a Weboldal megjelenítésénél a Megrendelő hibát észlel, de a Szolgáltató azonos operációs rendszer, azonos böngésző és (elsődleges) verziószám esetén nem észlel hibát, úgy a Szolgáltató által használt eszköz megjelenítése az irányadó, mindazonáltal a Szolgáltató kötelessége törekedni arra, hogy a Megrendelő eszközein is megfelelően jelenjen meg a Weboldal.
A felek az egyes munkaszakaszokra, illetőleg az egyes Részszolgáltatásokra irányadó teljesítési határidőket az Egyedi szerződésben rögzítik. A teljesítési határidő a Díjelőleg, Díjhátralék, Audit Részszolgáltatás igénybevétele esetén a Vállalkozói díj összegének a Szolgáltató bankszámláján történő jóváírásának napját követő első napon indul.
A Szolgáltató késedelembe esik, ha a Szolgáltatást, illetőleg az egyes Részszolgáltatásokat esedékességekor nem teljesíti. A Megrendelő elfogadja, hogy az Egyedi szerződésben rögzített határidők a jelen ÁSZF-ben meghatározott esetekben módosulhatnak. E körben a Megrendelő kifejezetten tudomásul veszi, hogy amennyiben a Tartalmat neki felróható okból késve adja át, úgy a teljesítési határidő a Megrendelő késedelmével automatikusan kitolódik. A Megrendelő késedelme (pl. Tartalom szolgáltatás kapcsán) a Szolgáltató egyidejű késedelmét kizárja.
A Vállalkozó köteles haladéktalanul írásban jelezni a Megrendelőnek, ha az egyes munkaszakasz, illetőleg Részszolgáltatás teljesítésével az Egyedi szerződésben rögzített határidőhöz képest akár önhibájából, akár önhibáján kívüli okból előreláthatólag késedelembe esik.
A Megrendelő a Weboldal készítési Szolgáltatásért, valamint az egyes önállóan is megrendelhető Részszolgáltatásokért (Márkatervezés, Webdizájn, Webfejlesztés, Audit) az Egyedi szerződésben rögzített vállalkozói díjat (a továbbiakban: „Vállalkozói díj”) köteles megfizetni a Szolgáltatónak.
Amennyiben az Egyedi szerződés tárgya Weboldal készítése (Márkatervezés, Webdizájn, Webfejlesztés, Audit, Élesítés és átadás-átvétel), úgy a fizetési ütemezés az alábbiak szerint alakul:
A Szolgáltató az Egyedi szerződés megkötésével egyidejűleg előlegszámlát állít ki a Vállalkozói díj 50%-ának megfelelő összegre vonatkozóan (a továbbiakban: „Díjelőleg”). A Megrendelő a Díjelőleget 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított számla alapján.
A Szolgáltató az Audit munkaszakasz lezárását követően végszámlát állít ki a Vállalkozói díj 50%-ának megfelelő összegre vonatkozóan (a továbbiakban: „Díjhátralék”). A Megrendelő a Díjhátralékot 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított számla alapján. A Megrendelő tudomásul veszi, hogy az Díjhátralék megfizetése a Weboldal éles üzembe állításának és átadásának feltétele, ezért azt a Díjhátralék megfizetéséig nem követelheti a Szolgáltatótól.
Amennyiben az Egyedi szerződés tárgya csak Márkatervezés Részszolgáltatás, a fizetési ütemezés az alábbiak szerint alakul:
A Szolgáltató az Egyedi szerződés megkötésével egyidejűleg előlegszámlát állít ki a Vállalkozói díj 50%-ának megfelelő összegre vonatkozóan (a továbbiakban: „Díjelőleg”). A Megrendelő a Díjelőleget 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított számla alapján.
A Szolgáltató a Márkatervezés munkaszakasz lezárását követően végszámlát állít ki a Vállalkozói díj 50%-ának megfelelő összegre vonatkozóan (a továbbiakban: „Díjhátralék”). A Megrendelő a Díjhátralékot 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított számla alapján. A Megrendelő tudomásul veszi, hogy az Díjhátralék megfizetése a márkakézikönyv (Brandbook) átadásának feltétele, ezért azt a Díjhátralék megfizetéséig nem követelheti a Szolgáltatótól.
Amennyiben az Egyedi szerződés tárgya csak Webdizájn Részszolgáltatás, úgy a fizetési ütemezés az alábbiak szerint alakul:

A Szolgáltató a Webdizájn munkaszakasz lezárását követően végszámlát állít ki a Vállalkozói díj 50%-ának megfelelő összegre vonatkozóan (a továbbiakban: „Díjhátralék”). A Megrendelő a Díjhátralékot 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított számla alapján. A Megrendelő tudomásul veszi, hogy az Díjhátralék megfizetése a végleges webdizájn átadásának feltétele, ezért azt a Díjhátralék megfizetéséig nem követelheti a Szolgáltatótól.
Amennyiben az Egyedi szerződés tárgya csak Audit Részszolgáltatás, úgy a fizetési ütemezés az alábbiak szerint alakul:
A Szolgáltató az Egyedi szerződés megkötésével egyidejűleg díjbekérőt állít ki a Vállalkozói díj 100%-ának megfelelő összegre vonatkozóan. A Megrendelő a Vállalkozói díjat 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított díjbekérő alapján. A teljesítés megkezdésének feltétele a teljes Vállalkozói díj Szolgáltató bankszámláján történő jóváírása.
Amennyiben az Egyedi szerződés tárgya csak Weboldal fejlesztés Részszolgáltatás, úgy a fizetési ütemezés az alábbiak szerint alakul:
A Szolgáltató az Egyedi szerződés megkötésével egyidejűleg előlegszámlát állít ki („Díjelőleg”) a Vállalkozói díj 50%-ának megfelelő összegre vonatkozóan. A Megrendelő a Díjelőleget 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított számla alapján.
A Szolgáltató a Weboldal fejlesztés munkaszakasz lezárását követően végszámlát állít ki a Vállalkozói díj 50%-ának megfelelő összegre vonatkozóan (a továbbiakban: „Díjhátralék”). A Megrendelő a Díjhátralékot 8 naptári napon belül köteles megfizetni a Szolgáltató által kiállított számla alapján. A Megrendelő tudomásul veszi, hogy az Díjhátralék megfizetése a végleges Weboldal élesítésének és átadás-átvételének feltétele, ezért azt a Díjhátralék megfizetéséig nem követelheti a Szolgáltatótól.
Amennyiben az Egyedi szerződés tárgya egynél több önállóan is igénybe vehető Részszolgáltatás, azaz Részszolgáltatások kombinációja, azonban nem a teljes Weboldal készítési Szolgáltatás, úgy a felek a fizetési ütemezésről az Egyedi szerződésben egyedileg állapodnak meg.
A felek előteljesítésre jogosultak. A jelen szerződésből származó bármilyen kötelezettség pénzügyi teljesítéséhez kapcsolható bármilyen banki díjat és költséget a Megrendelőnek kell állnia, az a Szolgáltatóra nem terhelhető. Az egyes díjrészletek akkor minősülnek megfizetettnek, amikor jóváírásra kerültek a Szolgáltató bankszámláján.
A Megrendelő fizetési késedelem esetén a Szolgáltató a Polgári Törvénykönyvről szóló 2013. évi V. törvény (a továbbiakban: „Ptk.”) 6:48. §, illetőleg a Ptk. 6:155. § szerinti törvényes kamatra, valamint 40 euró behajtási költségátalányra jogosult a 2016. évi IX. törvényben foglaltak szerint.
A felek közös megegyezéssel, írásban jogosultak módosítani az Egyedi szerződést.
A Megrendelő kifejezetten elfogadja, hogy amennyiben bármely munkaszakaszban az Egyedi szerződésben megjelölt szolgáltatás(ok)on túl módosítást kér, annak elvégzésére a Szolgáltató csak az Egyedi szerződés módosítása esetén köteles. A módosításra vonatkozó írásbeli ajánlatban a Szolgáltató meghatározza a módosítás szerinti munka elvégzésére vállalt teljesítési határidőt, a munka díját és a fizetési ütemezést is. A Szolgáltató a módosítás elvégzésére csak akkor köteles, ha a díj a bankszámláján jóváírásra került. A Megrendelő tudomásul veszi, hogy az Egyedi szerződés teljesítésére irányadó teljesítési határidők a módosítás elvégzésére vállalt határidőkkel automatikusan kitolódnak.
Az Egyedi szerződést a felek megszüntethetik közös megegyezéssel. Az Egyedi szerződés a felek írásbeli megállapodásában meghatározott időpontban szűnik meg.
A teljesítés megkezdése előtt az Egyedi szerződéstől bármelyik fél a másik félhez címzett egyoldalú, írásbeli nyilatkozatával indokolás nélkül elállhat.
A teljesítés megkezdése után az Egyedi szerződést bármelyik fél 15 naptári napos felmondási idővel, a másik félhez címzett egyoldalú, írásbeli nyilatkozatával, indokolás nélkül felmondhatja (rendes felmondás).
Az Egyedi szerződés, illetőleg az ÁSZF rendelkezéseinek súlyos megszegése esetén a szerződésszegéssel érintett fél a szerződésszegő félhez intézett egyoldalú, írásbeli nyilatkozattal, indokolás mellett, azonnali hatállyal felmondhatja az Egyedi szerződést (rendkívüli felmondás).
A felek különösen, de nem kizárólagosan az alábbi esetekben jogosultak rendkívüli felmondásra:
bármelyik fél szerződésszegése estén, amennyiben a Szerződő fél a szerződéses kötelezettségeinek a másik fél felszólítására póthatáridőben sem tesz eleget;
a Megrendelő a számlán feltüntetett fizetési határidőn belül nem teljesíti a fizetési kötelezettségét;
bármelyik fél magatartásával a másik fél üzleti jó hírnevét sérti, veszélyezteti;
bármelyik fél megszegi a titoktartási kötelezettségét;
a Megrendelővel szemben végelszámolás, felszámolási eljárás, csődeljárás vagy egyéb, a Megrendelő fizetésképtelenségével kapcsolatos eljárás indul, vagy ezek közül bármelyik fenyeget;
a Megrendelő akadályozza vagy veszélyezteti a Szolgáltató rendeltetésszerű működését, különösen a Szolgáltató informatikai rendszereit;
a Szolgáltató tudomást szerez arról, hogy a Megrendelő a Weboldalt jogszabályba, vagy jóerkölcsbe ütköző módon vagy ilyen célokra kívánja használni.
Amennyiben a Megrendelő az Egyedi szerződéstől a teljesítés megkezdése előtt eláll, úgy a Díjelőlegből a Vállalkozói díj 15%-ának megfelelő összeg kártalanítás jogcímén megilleti a Szolgáltatót.
Az Egyedi szerződés rendes, vagy rendkívüli felmondása esetén a Szolgáltató jogosult az általa már elvégzett munkákra eső arányos díjrészre.
A Megrendelő felmondása esetén a Díjelőlegből a Vállalkozói díj 15%-ának megfelelő összeg kártalanítás jogcímén akkor is megilleti a Szolgáltatót, ha a Szolgáltató által ténylegesen elvégzett munkákra eső arányos díjrész nem éri el a Vállalkozói díj 15%-át.
A felek kötelesek egymással elszámolni és a Szolgáltató köteles visszatéríteni a Megrendelő részére az általa megfizetett Díjelőleg, illetve Díjhátralék és a Szolgáltató által már elvégzett munkákra eső arányos díjrész, illetve kártalanítás összegének különbözetét 15 naptári napon belül.
Az Egyedi szerződés módosítására, illetőleg megszüntetésére vonatkozó jognyilatkozatot joghatályosan közöltnek kell tekinteni, amennyiben az a másik fél számára hozzáférhetővé válik a jelen ÁSZF IX/4. pontjában foglaltak szerint.
A Szolgáltató az átadás-átvétel napjától számított 30 napig jótállást vállal a Weboldal rendeltetésszerű, hibamentes működésére. A Szolgáltató mentesül a jótállási kötelezettség alól, ha bizonyítja, hogy a hiba oka a teljesítés után keletkezett. A jótállás a Megrendelő jogszabályból eredő jogait nem érinti.
A jótállás lejárta után a Szolgáltató a Ptk. kellékszavatosságra vonatkozó szabályai szerint áll helyt a hibás teljesítésért. A Megrendelő a hiba felfedezése után késedelem nélkül köteles a hibát a Szolgáltatóval közölni. A Megrendelő kellékszavatossági igénye a teljesítés időpontjától számított 1 év alatt évül el.
Felelősségkorlátozás: A Szolgáltató a következményi károkért fennálló, Ptk. 6:143. § szerinti felelősségét az Egyedi szerződésben meghatározott Vállalkozói díj összegére korlátozza. A felelősségkorlátozás nem érinti a Szolgáltató által szándékosan vagy életben, egészségben, testi épségben okozott kár megtérítését.
A Szolgáltató nem vállal jótállást olyan hibák kijavítására, amelyek egy böngészőprogram, vagy az azt működtető eszköz hibájából, illetőleg nem kompatibilis működésükből erednek. A Megrendelő kifejezetten elfogadja és tudomásul veszi, hogy a Weboldal átadása-átvétele után a Weboldal karbantartása, üzemeltetési feladatai, különösen a hibaelhárítások, frissítések, biztonsági mentések elvégzése és a tartalomkezelés az átadás-átvételt követően a Megrendelő, illetőleg az erre által megbízott harmadik személy feladata és felelőssége. A Weboldal átadás-átvétel utáni karbantartása és a tartalomkezelés az Egyedi szerződésnek nem tárgya.
Az ingyenes kiegészítő szolgáltatások, különösen a nem a Szolgáltató által fejlesztett szoftverek (például statisztikai programok, hirdető felületek, SSL titkosítás, webmail felület, SEO tool-ok, Google Analitycs stb.) működéséből vagy használatából adódó károkért Szolgáltató semmilyen felelősséggel nem tartozik, még abban az esetben sem, ha a károkat bizonyíthatóan ezen szoftverek okozták. Az ingyenes szoftvereket és szolgáltatásokat a Megrendelő a saját felelősségére használja.
A Szolgáltató nem vállal felelősséget a tárhelyszolgáltató szerver számítógépén esetlegesen előforduló műszaki hibák, üzemeltetési szünet vagy más ok miatt fellépő adatvesztésekért, sem harmadik személy szolgáltató vagy a Megrendelő által okozott bármilyen adatvesztésért, vagy bármilyen más kárért, sem az üzemeltetési idő kieséséből keletkező következményi károkért.
A Megrendelő által a Weboldalon megjelenített tartalomért (képek, szövegek, táblázatok, hangok, videók) a Szolgáltatót kizárja a felelősségét. A Megrendelő tartozik felelőséggel a Weboldalon elhelyezett információk valódiságáért és jogszerűségéért és a Megrendelőnek kell viselnie a tartalmi elemek jogosulatlan, vagy jogszerűtlen felhasználásának következményeit.
Tilos a Weboldalon a hatályos magyar és nemzetközi jogszabályok alapján üzleti titoknak, magántitoknak minősülő, illetve szerzői jogi védelemben részesülő Tartalmat elhelyezni, továbbá a Weboldalt bűncselekmény céljára, vagy egyéb, jó erkölcsbe ütköző célra, illetve módokon használni. A Szolgáltató kizárja felelősségét az ilyen tevékenységből származó következményekért és károkért.
A Weboldalon szereplő egyéni, eredeti jelleggel bíró alkotások (képek, szövegek, táblázatok, audio- és videoanyagok) szerzői jogi védelemben részesülnek. A művek felhasználásához a szerzőjük engedélye szükséges. A Megrendelő hozzájárulását adja ahhoz, hogy a Szolgáltató a rendelkezésére bocsátott műveket a Weboldal elkészítéséhez szükséges mértékben felhasználja. A Megrendelő szavatol azért, hogy az általa a Szolgáltató rendelkezésére bocsátott művek nem sértik más harmadik személy szellemi tulajdonhoz fűződő jogát, illetve személyiségi jogait.
A Weboldal arculata (ideértve a Szolgáltató által alkotott logót, emblémát stb.) számítógépes grafikával létrehozott képzőművészeti alkotás, amely szerzői jogi védelemben részesül. A védelem a Szolgáltatót illeti meg, mint a mű szerzőjét.
A Weboldal gyűjteményes műként szerzői jogi védelemben részesül, mert tartalmát a Szolgáltató, mint szerkesztő egyéni-eredeti módon válogatja össze, rendezi el, illetve szerkeszti. A Weboldal szerzői jogi védelme független a Weboldalon megjelenített tartalmak esetleges szerzői jogi védelmétől. A Szolgáltató szavatolja, hogy sem az általa használt sablon, sem az általa készített Weboldal semmilyen eleme nem sérti harmadik személyek szellemi tulajdonhoz fűződő jogát, illetve személyiségi jogait. A védelem a gyűjteményes művet megilleti akkor is, ha annak részei, tartalmi elemei nem részesülnek, illetve nem részesülhetnek szerzői jogi védelemben.
A Szolgáltató, mint szerző a Weboldalhoz kapcsolódó szerzői vagyoni jogokat a Weboldal átadás-átvételével visszterhesen, díjazás ellenében, időbeli és térbeli korlátozás nélkül átruházza a Megrendelőre. A szerzői vagyoni jog átruházásának ellenértékeként fizetendő szerzői jogdíjat a felek külön nem határozzák meg, azt az Egyedi szerződésben meghatározott Vállalkozói díj tartalmazza.
Mivel a szerző személyhez fűződő, nem átruházható szerzői joga, hogy a művén szerzőként feltüntessék, ezért a Szolgáltató jogosult arra, hogy az elkészült Weboldalon a Szolgáltató neve feltüntetésre kerüljön.
A Megrendelő hozzájárul ahhoz, hogy az Egyedi szerződésben általa önkéntesen megadott, továbbá az Egyedi szerződés teljesítésével összefüggésben szükségszerűen az Szolgáltató tudomására jutó személyes adatait, a Szolgáltató és/vagy közreműködője az Egyedi szerződés teljesítése céljából, illetőleg az azzal kapcsolatos jogérvényesítés (pl. követeléskezelés) céljából a jogszabályok előírásainak megfelelően kezelje. A Megrendelő hozzájárul, hogy a személyes adatait a Szolgáltató általa megbízott személy részére továbbítsa.
A Megrendelő hozzájárul ahhoz, hogy a Szolgáltató a Megrendelő nevét és a Weboldal linkjét saját weboldalán, valamennyi online és papír alapú kiadványán referenciaként szerepeltesse.
A Szolgáltató megteszi azokat az ésszerű és elvárható technikai és szervezési intézkedéseket, amelyek azt a célt szolgálják, hogy a személyes adatok és a Megrendelő által átadott Tartalom a jogosulatlan hozzáféréstől és a jogtalan felhasználástól védve legyenek, továbbá adatvesztés, vagy változás ellen védelemben részesüljenek. Mindazonáltal a Megrendelő tudomásul veszi, hogy a Szolgáltató a szerverén elhelyezett adatok teljes biztonságát nem tudja szavatolni. A biztonságos adattovábbítás érdekében https biztonsági kapcsolat használata javasolt. A Szolgáltató nem vállal felelősséget az olyan adatvesztésből eredő károkért, amelyek a nem biztonságos kapcsolat használata miatt következnek be.
A Szolgáltató a Weboldal elkészítése érdekében a Megrendelő által átadott Tartalom őrzéséért felelősséget nem vállal, a Megrendelő által átadott anyagokat az Átadás-átvételt követő 60 naptári nap elteltével szerveréről és adathordozóiról is törli.
A Megrendelő tudomásul veszi, hogy legkésőbb az Weboldalfejlesztés munkaszakasz kezdetekor regisztrált domain névvel kell rendelkeznie. A Megrendelő tudomásul veszi, hogy a domain, valamint a tárhely folyamatos fenntartása a Weboldal működésének alapvető technikai feltétele.
A Megrendelő a domain-, valamint a tárhelyszolgáltatókkal a saját nevében köt szerződést a domain név regisztrálása és tárhelyszolgáltatás biztosítása, valamint ezek fenntartása céljából. A Megrendelő tudomásul veszi, hogy a szerződés alapján az egyes jogok, illetőleg kötelezettségek (pl. Megrendelő fizetési kötelezettsége) a közvetlenül az adott szolgáltatót, valamint a Megrendelőt illetik, illetőleg terhelik.
A Szolgáltató nem vizsgálja, hogy a Megrendelő által megadott domain név jogszabályba ütközik-e, a domain név jogszerűségével kapcsolatos felelősségét a Szolgáltató kizárja.
A Megrendelő kijelöli azt a természetes személy, akit jogosult arra, hogy a nevében a Szolgáltatóval kommunikáljon, a teljesítéssel kapcsolatban instrukciókat, információkat adjon, és a felmerülő kérdésekben döntéseket hozzon (a továbbiakban: „kapcsolattartó”). A kapcsolattartó személy nevét, e-mail címét és egyéb elérhetőségét a felek az Egyedi szerződésben rögzítik. A Szolgáltató kizárólag a Megrendelő által az Egyedi szerződésben kapcsolattartóként kijelölt személy utasítása szerint és nyilatkozata alapján szerint köteles eljárni.

A Szolgáltató más kapcsolattartót is jogosult megadni az Egyedi szerződésben.
A felek Egyedi szerződéssel kapcsolatos jognyilatkozataikat kötelesek írásban megtenni. A felek elektronikus úton tett jognyilatkozata hatályossá válik, amikor az a másik fél kapcsolattartója számára hozzáférhető lesz. A címzett a tudomásszerzést köteles késedelem nélkül, írásban, elektronikus úton visszaigazolni.
Amennyiben a kapcsolattartásra által használt e-mail fiók, más fiók, vagy platform jogosulatlan személy számára hozzáférhetővé válik, úgy arról a felek kölcsönösen kötelesek egymást haladéktalanul értesíteni.
A felek a szóbeli egyeztetéseiről írásbeli emlékeztetőt készítenek elektronikus úton, illetőleg szóbeli nyilatkozataikat a szóbeli nyilatkozattételt követő legkésőbb 2 naptári napon belül elektronikus úton, írásban megerősítik.
A Szolgáltató kötelezettsége teljesítéséhez vagy joga gyakorlásához igénybe vehet közreműködőt. A Megrendelő tudomásul veszi, hogy a Szolgáltató által igénybevett közreműködő a Szolgáltató nevében és javára fejt ki tevékenységet. A Szolgáltató az igénybe vett személy magatartásáért úgy felel, mintha maga járt volna el.
Amennyiben az Egyedi szerződés, illetőleg a jelen ÁSZF valamely részében érvénytelen lenne, úgy az a többi rendelkezés érvényességét nem érinti. A szerződés a megkötésének időpontjára visszamenőleges hatállyal érvényessé válik, ha az érvénytelenségi okot a felek utólag kiküszöbölik. Az Egyedi szerződés, illetőleg az ÁSZF részbeni érvénytelensége esetén az egész szerződés csak akkor dől meg, ha feltehető, hogy a felek azt az érvénytelen rész nélkül nem kötötték volna meg.
A felek a Megrendelő által a Szolgáltató részére átadott, valamint az Egyedi szerződés teljesítése során egyébiránt a Szolgáltató tudomására jutott tényeket, adatokat, információkat, az Egyedi szerződés létét és tartalmát, valamint minden azt érintő információt, ideértve különösen a Szolgáltató által „Bizalmasként” („Private and confidential”) minősített anyagokat üzleti titoknak, illetve védett ismeretnek (know-how) tekintenek.
A felek kötelezik magukat arra, hogy az üzleti titok és védett ismeretet bizalmasan kezelik és kizárólag az Egyedi szerződésből eredő kötelezettségeik teljesítése céljából és annak feltételei szerint használják fel. A felek minden ésszerű intézkedést megtesznek az üzleti titkok és védett ismeretek megőrzése, valamint jogosulatlan megszerzésének, hasznosításának, illetve felfedésének elkerülése érdekében.
A felek a közreműködőik magatartásáért a titoktartási kötelezettség tekintetében úgy felelnek, mintha maguk jártak volna el. A titoktartási kötelezettség a feleket időbeli korlátozás nélkül terheli, a szerződés megszűnésétől függetlenül. A titoktartási kötelezettség megszegéséből eredő kárért a felek teljes körű kártérítési felelősséggel tartoznak.
Az üzleti titoktartási kötelezettség nem terjed ki az üzleti titok védelméről szóló 2018. évi LIV. törvény alapján fennálló kivételekre.
A Megrendelő kötelezettséget vállal arra, hogy az Egyedi szerződés hatálya alatt, illetve annak megszűnését követően is tartózkodik a Szolgáltató jó hírnevét sértő megnyilvánulástól, magatartástól, különösen az online platformokon, ideértve a közösségi médiát.
A Megrendelő az Egyedi szerződésben rögzített adatainak (pl. számlázási cím, kapcsolattartó személye, elérhetősége) megváltozásáról köteles a Szolgáltatót haladéktalanul, de legfeljebb a változástól számított 8 naptári napon belül írásban értesíteni. E kötelezettség elmulasztásából eredő minden kárért a Megrendelő felelősséggel tartozik.
Az Egyedi szerződésben meghatározott Vállalkozói díj nettó összeg, az esetlegesen felmerülő, mindenkor hatályos magyar adójogszabályok szerinti adót (amely a jelen ÁSZF hatálybalépésekor az ÁFA) nem tartalmazza. A Szolgáltató felhívja a Megrendelő figyelmét arra, hogy tájékozódjon a Megrendelő adóügyi illetősége szerinti ország adózási jogszabályairól és gyakorlatáról a Megrendelő adóügyi illetősége szerinti ország adóhatóságánál.
A felek jogviszonyára a magyar jogszabályok az irányadók, különösen a Polgári Törvénykönyvről szóló 2013. évi V. törvény rendelkezései.
A felek az Egyedi szerződés és a jelen ÁSZF rendelkezéseinek értelmezésével, a szerződés teljesítésével, megszüntetésével kapcsolatban közöttük kialakult vitát egymás között, békés úton tárgyalásokkal, vagy alternatív vitarendezési módszerek (mediáció) segítségével igyekeznek rendezni.
Ennek sikertelensége esetére a felek a szerződéssel kapcsolatos valamennyi jogvitájuk eldöntésére kikötik értékhatártól függően a Székesfehérvári Járásbíróság, illetve a Székesfehérvári Törvényszék kizárólagos illetékességét. A polgári perrendtartásról szóló 2016. évi CXXX. törvény szerint a bírósági eljárás nyelve a magyar.
